Admin October 10, 2026

The office chair sales contract is a written agreement that clarifies the rights and obligations of both the buyer and the seller, covering various aspects such as product information, delivery and payment, acceptance, and after-sales service.

I. Contract Subject Information The contract must specify the detailed information of both parties, Party A (the buyer) and Party B (the seller), including company names, registered locations, and legal representatives, ensuring clear subject identities and providing a basis for subsequent liability determination.

II. Product-Related Clauses

  1. Product Information: The contract should list in detail the name, model, quantity, unit price, and total price of the office chairs, and specify that the quality standards must comply with relevant national requirements to avoid disputes arising from unclear specifications or quality issues.
  2. Delivery Time and Location: The contract should stipulate the specific number of days for delivery from the date of contract signing and the exact delivery location to ensure the smooth execution of the transaction process.

III. Payment-Related Clauses

  1. Payment Method and Deadline: Party A is required to pay a certain percentage of the total purchase price as an advance payment within a certain number of days after the contract is signed. After Party B delivers the goods and Party A accepts them as qualified, Party A shall pay the remaining balance within the specified number of days to ensure an orderly flow of funds.
  2. Liability for Breach of Contract: If Party B fails to deliver the goods as agreed, it shall pay a certain percentage of the total purchase price as a penalty. If Party A fails to make the payment on time, it shall pay a certain percentage of the unpaid amount as a penalty. Additionally, for delayed delivery or payment, a certain percentage of the penalty shall be paid on a daily basis. In cases of serious breach of contract, the other party may terminate the contract and demand a higher percentage of the penalty.

IV. Acceptance and After-Sales Clauses

  1. Product Acceptance: Party A shall conduct acceptance according to national quality standards within a certain number of days after receiving the goods. If any problems are found, Party A shall immediately notify Party B and may refuse to accept the goods. Quality disputes shall be handled in accordance with national laws.
  2. After-Sales Service: Party B shall provide a certain number of years of warranty service, including free repair or replacement during the warranty period. Some functions may have a free trial period, during which returns or exchanges are allowed. Party B shall respond to and resolve after-sales requests within the specified time. After the warranty period, only material costs will be charged for repairs.

V. Other Clauses This includes a confidentiality agreement requiring both parties to keep trade secrets confidential. The method of dispute resolution is friendly negotiation, and if negotiation fails, a lawsuit may be filed in the court at the place of contract signing. The contract is made in duplicate and takes effect upon signature and seal. The bidding documents and appendices have the same legal effect, and matters not covered herein may be negotiated and supplemented separately.
