Office Chair Replenishment

Admin October 08, 2026

In the shared office workstation furniture procurement agreement, office chair replenishment must adhere to the provisions regarding quality issues in the agreement, but the agreement does not separately specify details such as the replenishment process and timing. Details are as follows:

I. Basis for Replenishment
The agreement clearly states that Party A (the purchaser) has the right to request Party B (the supplier) to repair, replace, or return furniture if quality issues are identified. The term 'replacement' can be interpreted to include replenishment scenarios, meaning that when an office chair cannot be used normally due to quality issues, Party A has the right to request Party B to provide a new office chair of the same model and specifications to complete the replenishment. However, the agreement does not stipulate 'replenishment' as an independent clause, so the replenishment process must be triggered on the premise of quality issues.

II. Replenishment Process

  1. Quality Feedback: After Party A identifies quality issues with an office chair (such as structural damage or functional failure), it must immediately notify Party B and provide written evidence (such as photos or inspection reports) to prove the authenticity of the issues.
  2. Responsibility Determination: Upon receiving the notification, Party B must inspect the problematic office chair within a reasonable time (the agreement does not specify a specific time limit, usually referring to industry practices or mutual negotiation) to confirm whether it is a quality issue.
  3. Replenishment Execution: If Party B confirms the existence of quality issues, it must provide a new office chair as requested by Party A to complete the replenishment; if Party B denies the quality issues, the two parties can resolve the matter through negotiation or through a third-party organization for identification.

III. Replenishment Timing and Details
The agreement does not specify details such as the specific timing, transportation responsibility, and installation services for replenishment. In practice, the replenishment timing may be affected by factors such as Party B's inventory and logistics efficiency, and needs to be determined through mutual negotiation. If Party B's delayed replenishment causes losses to Party A, Party A may claim compensation in accordance with the provisions regarding liability for breach of contract in the agreement, but must provide proof of the losses.

IV. Recommended Supplementary Clauses
To avoid disputes, it is recommended that both parties supplement the agreement with detailed rules regarding replenishment, such as:

  • Clarifying the response time limit for replenishment requests (e.g., Party B must respond within 24 hours);
  • Specifying the maximum time limit for completing replenishment (e.g., within 7 working days from the confirmation of quality issues);
  • Agreeing on the responsible party and cost-sharing method for replenishment transportation and installation.

If the agreement does not include supplementary details, both parties can refer to industry practices or resolve replenishment issues through friendly negotiation.
