For office chair procurement entrustment, the following letter of entrustment can be referred to, covering key terms and details:

I. Entrusted Matters
- Procurement Scope: Party B is entrusted by Party A to purchase office furniture on behalf of Party A, explicitly including office chairs, and may also cover other furniture designated by Party A or deemed necessary by Party B, such as office desks and filing cabinets.
- Quality Standards: Party B must select office chair products that meet national relevant quality standards and environmental protection requirements according to Party A's requirements, ensuring material safety, structural stability, and avoiding excessive levels of harmful substances such as formaldehyde.
II. Entrustment Fees and Payment Methods
- Fee Ratio: The entrustment fee is X% of the total purchase price of the furniture (the specific ratio needs to be determined through negotiation between the two parties).
- Payment Process: After receiving the invoice and purchase list submitted by Party B, Party A must complete the payment within X working days (e.g., 5 working days). Payment methods can be bank transfer or cash.
III. Delivery and Acceptance
- Delivery Deadline: Party B must complete the procurement within the time specified in the contract and deliver the office chairs to the designated location of Party A.
- Acceptance Process: After receiving the goods, Party A should conduct acceptance within X working days (e.g., 3 working days), focusing on checking whether the quantity, specifications, and quality meet the contract requirements.
- Sign-off Confirmation: After successful acceptance, Party A must sign off and notify Party B; if there are any issues, written objections must be raised within the acceptance period.
IV. Quality Assurance
- Return, Exchange, and Repair: Party B is responsible for the quality of the purchased office chairs. If there are non-man-made quality issues, Party B must provide free return, exchange, or repair services within the warranty period.
- Warranty Period: The warranty period starts from the date of delivery and lasts for X months (e.g., 12 months), with the specific period determined through negotiation between the two parties.
V. Confidentiality and Liability for Breach of Contract
- Confidentiality Obligations: Both parties must keep the content of the letter of entrustment and cooperation details confidential and must not disclose them to third parties without the consent of the other party.
- Breach Handling: If Party B fails to complete the tasks on time, Party A may request the payment of liquidated damages or compensation for losses; if Party A fails to pay on time, Party B has the right to recover the arrears and liquidated damages.
VI. Dispute Resolution and Effective Terms
- Dispute Handling: Disputes should be resolved through negotiation first. If negotiation fails, the case can be submitted to the people's court at the place where the contract is signed for litigation.
- Contract Effectiveness: The letter of entrustment is made in duplicate, and it becomes effective after being signed and stamped by both parties. Matters not covered herein can be supplemented through additional agreements.
Note: When actually using it, fill in the blank terms (such as fee ratios, periods, etc.) according to specific needs and ensure that both parties reach an agreement on rights and obligations.
