Office Chair Color Change Contract
Admin October 12, 2026
The office chair color change contract should include the following core clauses to ensure the rights and interests of both parties and standardize the service process:

I. Service Content and Standards
- Color Change Requirements: Party B shall carry out the color change according to the color or color card number (such as RAL/Pantone color number) specified by Party A, clearly defining the color change process (such as spraying, electroplating, etc.) and the environmental protection standards of the materials (such as compliance with GB 18581-2020 'Limits of Harmful Substances in Wood Coatings').
- Structural Protection: During the color change process, it is necessary to ensure the safety of the original structure of the office chair, avoiding deformation, loosening, or functional damage caused by operations. Otherwise, Party B shall be responsible for repair or compensation.
II. Service Period and Extension Handling
- Project Duration Agreement: Party B shall start the service within [X] working days after the contract is signed and complete all color changes within [X] working days after starting. If it involves a batch of office chairs (e.g., more than 10 chairs), it is recommended to attach a list to clarify the delivery time nodes for each chair.
- Force Majeure Clause: In case of delays caused by natural disasters, policy adjustments, or other force majeure events, Party B shall notify Party A in writing within 48 hours and provide proof. Both parties shall negotiate to adjust the project duration. If Party B fails to notify, it shall bear the liability for overdue breach of contract.
III. Costs and Payment Methods
- Total Cost Composition: Clearly state the total amount (e.g., RMB 5,000), which includes labor, materials, taxes, and transportation costs (if any) to avoid subsequent disputes.
- Payment Nodes:
- Advance Payment: Party A shall pay 30% of the total cost (i.e., RMB 1,500) within 3 working days after the contract is signed.
- Final Payment: Party A shall pay the remaining 70% (i.e., RMB 3,500) within 5 working days after the color change is completed and accepted.
- Invoice Requirements: Party B shall provide a legal value-added tax special invoice before each payment. Otherwise, Party A has the right to refuse payment and shall not be liable for overdue payment.
IV. Quality Assurance and Acceptance Process
- Warranty Period: A 2-year warranty period is provided after the color change is completed. During the warranty period, Party B shall provide free repair or rework for fading, peeling, etc., caused by material or process issues.
- Acceptance Standards: Party A shall organize acceptance within 3 days after receiving the acceptance notice, focusing on checking color uniformity, surface smoothness, and structural integrity. If there are any objections, they shall be raised in writing within 2 days after acceptance, and Party B shall complete the rectification within 5 days.
V. Liability for Breach of Contract
- Overdue Liquidated Damages: Party B shall pay a penalty of 0.5% of the total cost for each day of delay (with a maximum not exceeding 20% of the total cost). The same applies if Party A delays payment.
- Scope of Compensation: If Party B causes damage to the office chair or uses non-environmentally friendly materials due to its own reasons, it shall compensate at the full price or bear all losses incurred by Party A as a result (such as compensation for employee health damage).
VI. Dispute Resolution and Contract Effectiveness
- If disputes cannot be resolved through negotiation, they shall be submitted to the people's court at the location of Party A for litigation.
- The contract shall be made in duplicate and take effect after being signed and stamped by both parties. Matters not covered herein may be covered by supplementary agreements.
Tip: Before signing the contract, it is recommended that both parties confirm the current status of the office chair on-site and keep photos or videos as attachments to avoid subsequent disputes over 'original damage'.
